These Terms of Service govern the engagement of Anagoric LLC (“Anagoric”, “we”, “us”) to provide technology services, including software development, artificial intelligence and automation, cybersecurity, data, cloud, technology infrastructure, and hardware. By requesting or using our services, you agree to these terms.
Our Services
Anagoric provides technology consulting, implementation, and support services to businesses. The scope, deliverables, timeline, and fees of each engagement are defined in a proposal or statement of work agreed with you. When engaging us, you agree that you will not:
Use our services or deliverables in any way that violates applicable laws or regulations
Attempt to gain unauthorised access to systems, environments, or materials outside the agreed scope
Use our deliverables to create products or outputs that are harmful, misleading, or illegal
Resell or redistribute our work, tools, or licences without our written consent
Client Responsibilities
You are responsible for providing timely access to the information, systems, and approvals needed to deliver each engagement, and for keeping any credentials we issue confidential. Please notify us immediately at admin@anagoric.com if you suspect any unauthorised use or access.
Intellectual Property
Unless otherwise agreed in writing, deliverables created specifically for you become your property upon full payment. Anagoric retains ownership of its pre-existing tools, frameworks, and know-how, which are licensed to you as needed to use those deliverables. We do not claim ownership over your data, content, or systems.
Fees and Payment
Fees are set out in each proposal or statement of work and may be fixed-price, milestone-based, or recurring. Invoices are payable within the agreed terms, and work may be paused while invoices remain unpaid. Third-party costs such as licences, cloud usage, and hardware are billed at cost unless otherwise agreed.
Termination
Either party may end an engagement with written notice as set out in the applicable statement of work. You will be invoiced for work performed and for non-cancellable commitments incurred up to the effective termination date.
Limitation of Liability
To the fullest extent permitted by law, Anagoric shall not be liable for any indirect, incidental, or consequential damages arising from our services. Our total liability to you shall not exceed the amount you paid to us in the twelve months preceding the claim.
Disclaimer of Warranties
We perform all services with reasonable skill and care, consistent with industry standards. Except as expressly agreed in writing, services and deliverables are provided without further warranties, and we do not guarantee uninterrupted or error-free operation of third-party platforms, networks, or hardware.
Changes to These Terms
We may update these Terms of Service from time to time. Any changes will be posted on this page with an updated date. Continuing to engage our services after changes are posted constitutes your acceptance of the revised terms.
Confidentiality and Governing Law
Each party agrees to keep the other’s confidential information secure and to use it only for the purposes of the engagement. These terms are governed by and construed in accordance with applicable law, and any disputes shall be subject to the exclusive jurisdiction of the relevant courts.
